Overview: The Chapel Hill Downtown Partnership was authorized by resolution on April 14, 2004. Adoption of the resolution would reduce the number of seats the Chapel Hill Town Council appoints to the Board from four seats to two. The Partnership believes this change would lead to better representation of a diverse set of business owners, property owners, and residents, as requested by a petition from the Board members submitted on February 13, 2023.

 

Recommendation(s):

That the Council adopt a resolution authorizing changes to the Bylaws of the Chapel Hill Downtown Partnership Board to reduce the number of Town Council appointed seats from four seats to two.

A RESOLUTION AUTHORIZING CHANGES TO THE CHAPEL HILL DOWNTOWN PARTNERSHIP BOARD (2023-03-22/R-5)

 

WHEREAS, on April 14, 2004, the Council authorized the creation of the Chapel Hill Downtown Partnership by Resolution (2004-04-14/R-17); and

 

WHEREAS, the Council received a petition from the Board members on February 14, 2023 requesting that the number of Town-appointed seats be reduced from four seats to two seats in order to better represent a diverse set of business owners, property owners, and residents; and

 

WHEREAS, this amendment requires approval from the Town of Chapel Hill governing board.

 

NOW, THEREFORE, BE IT RESOLVED that the Council of the Town of Chapel Hill authorizes amendments to the Bylaws of the Chapel Hill Downtown Partnership as follows:

 

Article III Boards & Meetings. Section 1 Board of Directors.

b.                     The number of Directors shall be fifteen (15). Each Director shall continue in office until his a successor shall have been elected and qualified or until his the Director’s death, resignation, or disqualification, or until the Director he shall resign or shall become disqualified or shall have been removed in the manner hereinafter provided. The University of North Carolina at Chapel Hill will appoint two (2) Directors; the Chapel Hill Town Council will appoint four (4) two (2) Directors, at least one of whom must be an owner of a business located in the downtown business district, and at least one of whom must be a property owner located in the downtown business district each of whom must be either a business owner, property owner, or resident of the downtown business district; and these seven (7) four (4) Directors annually shall elect eight (8) eleven (11) Directors, all of whomich should be business representatives or property owners in the downtown business district…”

 

BE IT FURTHER RESOLVED that the Town Council shall not fill the next two upcoming vacancies when current Town-appointed Director terms expire, and these two seats shall change to Director-appointed seats.

 

BE IT FURTHER RESOLVED that the Council would appoint a downtown business district resident, business owner, or property owner upon vacancy or term expiration.
